Mercer Teaches Advanced Emory Law Restructuring Class About the Significant DExit Amendments to the DGCL

I really enjoyed teaching the Advanced Restructuring Class at Emory Law School again this year. This year we focused on the recent significant amendments to the Delaware General Corporation Law (DGCL) enacted in response to DExit and their likely effect on middle-market restructuring and corporate governance litigation.
After the Delaware legislature swiftly passed such amendments, on March 25, 2025, Governor Matt Meyer approved such amendments by signing Senate Substitute No. 1 for Senate Bill No. 21.Â
